Coaching Portal Terms of Use

Effective 10 September 2025

These Terms of Use apply to your access to the Leader Guide Coaching Portal (“Coaching Portal”) and Leader Hub(“Leader Hub”) (together, the “Portals”).

By accessing the Portals, you agree to these Terms of Use. If you do not agree, you must not use the Portals.

1. Access

1.1 Access to the Portals is provided exclusively to active Leader Guide coaching and consulting clients.

1.2 Leader Hub access is granted via the Google account email you provide. Coaching Portal access is provided through Copilot.app.

1.3 You are responsible for keeping your login details secure and must not share them with anyone outside your business.

2. Permitted use

2.1 The Portals and all content within them are provided for your internal business use only.

2.2 You must not copy, distribute, sell, or share resources with any third party outside your business without our written consent.

2.3 You must not attempt to reverse engineer, modify, or create derivative works from any Portal content.

3. Intellectual property

3.1 Leader Guide retains ownership of all proprietary tools, frameworks, and resources provided in the Portals.

3.2 You are granted a limited, non-exclusive, non-transferable licence to use these resources for your business during your active coaching or consulting engagement.

3.3 Bespoke deliverables created specifically for you under consulting services (such as websites or custom materials) are covered under your Master Services Agreement.

4. Security and data

4.1 The Coaching Portal is hosted by Copilot.app, which provides encryption and security safeguards.

4.2 The Leader Hub is hosted via Google Workspace. By using it, you also agree to Google’s platform terms.

4.3 We take reasonable steps to protect your data but cannot guarantee uninterrupted or error-free access.

5. Termination of access

5.1 Access to the Portals is conditional on an active coaching or consulting agreement with Leader Guide.

5.2 We may suspend or terminate your access immediately if:

• Fees are unpaid,

• You breach these Terms, or

• Your agreement with Leader Guide ends.

6. Liability

6.1 To the maximum extent permitted by law, Leader Guide is not liable for any loss, damage, or costs arising from:

• Downtime or unavailability of the Portals,

• Errors or interruptions caused by Copilot, Google, or other third-party providers, or

• Your reliance on Portal content.
  6.2 Liability is otherwise limited in accordance with the Master Services Agreement.

7. Governing law

These Terms are governed by the laws of Queensland, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Queensland.

8. Updates

We may update these Terms of Use from time to time. The latest version will always be available within the Portals, showing the effective date.
